You are authorized to bind that business to these Terms
The business complies with all applicable laws
We do not provide services to individual consumers or minors.
3. Description of Services
NovaFlux Media provides:
AI-powered receptionists
AI chatbots for business communication, automation, and customer interaction
These may integrate with third-party platforms such as OpenAI, Go High Level, Grok (xAI), and Twilio.
Features, models, and capabilities may change at any time as the technology evolves.
4. Payment Terms
4.1 Subscription Billing
Some services require monthly recurring subscriptions.
By subscribing, you authorize us to charge your chosen payment method on a recurring basis until cancellation.
4.2 One-Time Fees
Certain services, setup tasks, or custom integrations may require a one-time, non-refundable fee.
4.3 No Refund Policy
All payments made to NovaFlux Media are final and non-refundable.
This includes subscription payments, setup fees, integration costs, or custom development services.
4.4 Price Changes
We may modify pricing at any time. If you are on a subscription, you will be notified prior to changes taking effect.
5. User Responsibilities
You agree not to:
Use NovaFlux Media’s AI for illegal, fraudulent, or harmful purposes
Generate content that is abusive, offensive, hateful, or harmful
Attempt to mislead, impersonate, or defraud others using AI
Violate intellectual property rights of third parties
Reverse engineer, copy, modify, or exploit our software
Interfere with or disrupt our services, security, or infrastructure
Use the service in ways that exceed rate limits or fair use boundaries
You are responsible for all content you upload, enter, or generate through our services.
6. Company Rights
NovaFlux Media reserves the right to:
Suspend or terminate accounts for violations of these Terms
Modify, update, or discontinue any part of the service at any time
Remove or restrict content that violates policies or laws
Enforce usage limits or security protections
We may exercise these rights without prior notice if required to protect our platform or other users.
7. Intellectual Property
7.1 NovaFlux Media IP
All software, AI models, branding, designs, algorithms, dashboards, and service architecture remain exclusive intellectual property of NovaFlux Media.
Users may not copy, reuse, resell, or redistribute our proprietary materials.
7.2 User & Client Content
Businesses retain ownership of the data or content they provide to NovaFlux Media.
7.3 AI Outputs
Unless otherwise agreed in writing:
Users may use the AI-generated outputs for business purposes.
NovaFlux Media retains rights to the underlying models, processes, and system logic used to create those outputs.
7.4 License to Operate the Service
By using our platform, you grant NovaFlux Media a limited license to process your content solely for:
Providing and improving the service
Maintaining security
Training or fine-tuning internal systems (only where permitted, and subject to OpenAI/xAI policies)
8. Limitation of Liability
To the fullest extent permitted by law:
The service is provided “as is” and “as available.”
We do not guarantee accuracy of AI outputs.
We are not liable for:
Business losses
Lost profits
Damaged reputation
Errors generated by AI models
Downtime, system failures, or integration issues
Our total liability is capped at the amount you paid to NovaFlux Media in the past 12 months.
You understand that AI may produce incorrect, unpredictable, or unintended outputs, and you agree to use it responsibly.
9. Termination
9.1 User-Initiated Termination
Users may cancel subscriptions or discontinue use at any time.
No refunds will be issued for partial billing periods.
9.2 NovaFlux Media Termination
We may terminate or suspend access at any time, including but not limited to:
Policy violations
Non-payment
Harmful or abusive behavior
Misuse of AI
Security risks
Termination may occur without prior notice.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of Ontario, Canada.
Any disputes will be resolved through one of the following processes (choose the default unless you want something else):
Negotiation → Mediation → Binding Arbitration under Ontario law
OR
Ontario courts (if you prefer court-only resolution)
Please let me know if you want arbitration only, court only, or both options.
11. Third-Party Integrations
Our services may rely on third-party providers such as:
OpenAI
Grok (xAI)
Go High Level
Twilio
By using our services, you agree to follow the third-party terms of these providers.
NovaFlux Media is not responsible for downtime or errors originating from third-party platforms.
12. Changes to These Terms
We may update these Terms at any time.
Continued use of the service after changes constitutes acceptance of the updated Terms.
